These Terms and Conditions ("Terms") govern your use of the CNY Coffee website www.cnycoffee.com (the "Site") and any purchases, fundraisers, or wholesale inquiries made through it. By using the Site, placing an order, organizing a fundraiser, or submitting a wholesale inquiry, you agree to these Terms. If you do not agree, please do not use the Site.

You must be at least 18 years old, or the age of majority in your jurisdiction, to place an order, organize a fundraiser, or submit a wholesale inquiry on our Site.

We make every effort to display accurate product descriptions, images, and prices. However, we do not warrant that product descriptions or pricing are error-free. If we discover a pricing error after you've placed an order, we will contact you before processing the order and you may choose to proceed at the corrected price or cancel for a full refund.

All prices are listed in U.S. dollars and do not include applicable sales tax, which will be calculated and added at checkout for orders shipped to New York and any other states where we are required to collect tax.

By placing an order, you represent that the payment information you provide is accurate and that you are authorized to use the payment method. We reserve the right to refuse or cancel any order at our discretion, including in cases of suspected fraud, pricing errors, or product unavailability.

Shipping and return terms are described in our Shipping Policy and Refund Policy, which are incorporated into these Terms by reference.

Fundraiser terms (including order minimums, timelines, and payout amounts) will be communicated directly to the organizer at setup and are subject to change. Payouts are calculated based on accurately reported sales and are not guaranteed until orders are fulfilled and confirmed. CNY Coffee reserves the right to decline or end a fundraiser partnership at its discretion.

Submitting a wholesale inquiry does not guarantee approval, pricing, or product availability. Wholesale pricing, minimum order quantities, and terms are only valid once confirmed in writing by CNY Coffee. We reserve the right to decline any wholesale request.

All content on the Site — including text, graphics, logos, and images — is owned by or licensed to CNY Coffee and is protected by copyright and trademark law. You may not reproduce, distribute, or use our content without prior written permission.

You agree not to use the Site for any unlawful purpose, to interfere with the Site's operation, to attempt unauthorized access to our systems, or to submit false or misleading information when placing an order, organizing a fundraiser, or submitting a wholesale inquiry.

The Site and our products are provided "as is" and "as available." While we take care in sourcing and roasting our coffee, we make no warranties, express or implied, regarding the Site's uninterrupted availability or that products will meet every expectation, except as required by law.

To the fullest extent permitted by law, CNY Coffee shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Site, our products, fundraisers, or wholesale arrangements. Our total liability for any claim shall not exceed the amount you paid for the relevant order.

You agree to indemnify and hold harmless CNY Coffee from any claims, damages, or expenses arising from your violation of these Terms or misuse of the Site.

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any disputes arising from these Terms or your use of the Site shall be resolved in the state or federal courts located in New York.

We may update these Terms from time to time. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
